1. Introduction

Welcome to Hindustaan Mart. These Terms of Service ("Terms") govern your use of our website located at hindustaanmart.in and our mobile application, operated by Hindustaan Innovations Pvt. Ltd.

By accessing, browsing, registering, purchasing, or selling on the Service, you agree to be bound by these Terms, our Privacy Policy, and our Refund & Return Policy. If you disagree with any part of the terms, you do not have permission to access the Service. These Terms constitute a legally binding agreement between you and Hindustaan Innovations Pvt. Ltd.

2. Eligibility

To use Hindustaan Mart, you must:

• Be at least 18 years of age, or use the Service under the supervision of a parent or legal guardian.
• Be legally capable of entering into a binding contract under applicable Indian law.
• Provide accurate, complete, and updated information during registration.
• Not have been previously suspended or permanently banned from the Service.

Businesses registering as sellers must possess all required licenses, registrations, and statutory approvals necessary to sell products or services under applicable law.

3. User Accounts

When you create an account with us, you must provide us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate suspension or termination of your account.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your account. You must notify us immediately if you suspect any unauthorized use of your account.

4. Marketplace Model

Hindustaan Mart operates as a technology-enabled online marketplace that facilitates transactions between independent buyers and sellers. Unless expressly stated otherwise, Hindustaan Innovations Pvt. Ltd. is not the manufacturer, importer, distributor, or owner of products listed by third-party sellers on the Service.

We do not assume ownership or possession of products sold by independent sellers and are not responsible for the quality, safety, legality, authenticity, or fitness for a particular purpose of such products. Responsibility for product descriptions, pricing, warranties, and regulatory compliance rests with the respective seller unless otherwise specified. We reserve the right to monitor, modify, suspend, or remove any listing that violates these Terms or applicable law.

5. Seller Responsibilities

All sellers on Hindustaan Mart agree to:

• Provide genuine and accurate business information, including valid licenses, GST registration (where applicable), and statutory approvals.
• Ensure all listed products comply with applicable Indian laws and are not counterfeit, stolen, or prohibited.
• Maintain accurate inventory and pricing, and dispatch products within the committed timeline.
• Package products securely, honor valid warranty commitments, and accept eligible returns as per our Refund & Return Policy.
• Not manipulate prices, reviews, or ratings, and not contact customers outside the Service for unauthorized transactions.

Violation of the above may result in listing removal, withholding of payments, account suspension, or legal action.

6. Buyer Responsibilities

Every buyer agrees to:

• Provide accurate delivery details and ensure payment information is valid.
• Accept deliveries personally or through an authorized representative and verify products immediately upon delivery.
• Raise return, refund, or damage requests within the window prescribed in our Refund & Return Policy.
• Use products according to the manufacturer's instructions and avoid misuse of return or refund facilities.

Repeated abuse of these Terms or Platform policies may result in suspension of purchasing privileges.

7. Prohibited Activities

You agree not to:

• Use the Service for unlawful purposes, upload false information, or impersonate another person.
• Introduce viruses or malicious code, attempt unauthorized access, or interfere with the Service's operations.
• Manipulate product reviews, engage in fraudulent transactions, or use unauthorized bots or scripts.
• List or sell counterfeit, stolen, hazardous, or otherwise prohibited goods, including narcotics, weapons, or IP-infringing products.
• Reverse engineer, scrape, or commercially exploit any part of the Service without our written permission.

Violation of this section may result in immediate suspension or permanent termination of your account without prior notice, and may be reported to competent authorities.

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Hindustaan Innovations Pvt. Ltd. and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

If you believe material on the Service infringes your intellectual property rights, you may submit a written complaint identifying the material, your ownership rights, and your contact details to our support team. We may investigate and remove or disable access to infringing content where appropriate.

9. Reviews & User Content

You may submit reviews and ratings based on genuine purchasing experiences. You agree not to post false, defamatory, offensive, or misleading content. You retain ownership of content you submit, but by submitting reviews, photos, or other content, you grant us a worldwide, non-exclusive, royalty-free license to display, reproduce, and distribute such content in connection with operating and marketing the Service. We reserve the right to moderate, edit, or remove any content that violates these Terms.

10. Purchases & Payment

If you wish to purchase any product or service made available through the Service, you may be asked to supply certain information relevant to your purchase, including your payment details, billing address, and shipping information. Payments are processed through RBI-compliant third-party payment gateway providers, and we do not store complete card details.

We reserve the right to refuse or cancel your order at any time for reasons including product or service unavailability, pricing errors, suspected fraud, or errors in your order.

11. Order Cancellation

Customers may cancel an order before it has been shipped, subject to our Refund & Return Policy. Sellers may cancel an order due to inventory shortages, incorrect product information, or shipping restrictions. Hindustaan Innovations Pvt. Ltd. reserves the right to cancel any order due to payment verification failure, suspected fraud, policy violations, or force majeure events. Eligible refunds will be processed to the original payment method.

12. Limitation of Liability

In no event shall Hindustaan Innovations Pvt. Ltd., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service, or from seller misconduct or manufacturer defects.

To the maximum extent permitted by law, our total liability shall not exceed the amount paid by you for the specific transaction giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Hindustaan Innovations Pvt. Ltd., its directors, officers, employees, and affiliates against any claims, liabilities, damages, or costs arising from your violation of these Terms, breach of applicable law, intellectual property infringement, fraudulent conduct, or misuse of the Service.

14. Force Majeure

We shall not be liable for any delay or failure in performing our obligations where such delay or failure results from events beyond our reasonable control, including natural disasters, pandemics, government restrictions, internet outages, cyber-attacks, or failure of third-party logistics or payment providers.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. In the event of any dispute arising out of or relating to these Terms or use of the Service, the parties shall first attempt to resolve the dispute amicably through mutual discussion.

If the dispute is not resolved within thirty (30) days, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator, in the English language, at a location to be determined by Hindustaan Innovations Pvt. Ltd. The arbitral award shall be final and binding. Nothing in this clause prevents either party from seeking interim or injunctive relief before a court of competent jurisdiction. Subject to the arbitration clause, courts having jurisdiction over the location of our registered office shall have exclusive jurisdiction over matters arising under these Terms.

16. General Provisions

• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any provision shall not constitute a waiver of that or any other provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to any affiliate or successor entity.
• Entire Agreement: These Terms, together with our Privacy Policy and Refund & Return Policy, constitute the entire agreement between you and us regarding use of the Service.
• Modification: We reserve the right to amend these Terms at any time. Continued use of the Service after modification constitutes acceptance of the revised Terms.

17. Grievance Officer

In accordance with applicable Indian law, we have appointed a Grievance Officer to address complaints regarding orders, payments, refunds, product quality, or Platform conduct. Complaints will be reviewed and responded to within the timelines prescribed under applicable Indian law.
